Terms & Conditions

By creating a Raichu account, subscribing to a plan, signing a proposal or order form, or by paying our first invoice, you confirm that you have read and agree to these terms on behalf of your company and that you have authority to do so.

Raichu provides AI agents that answer, sell and support your customers across your website chat widget, Instagram, Facebook Messenger, WhatsApp, Telegram and TikTok, together with setup, training and monitoring by a dedicated engineer. The specific plan, channels, features and usage limits for your account are set out in your plan or order form.

We may evolve our product, models, tooling and team over time. We won’t reduce the substance of what you’re paying for without telling you first.

• Dedicated setup. A dedicated engineer trains Raichu on your business, connects your channels and launches your agent.
• Change requests. Anything outside your plan is captured as a change request. We’ll estimate effort and impact before starting.
• Approvals. You’re responsible for nominating a decision-maker who can sign off on your agent’s tone, rules and launch within a reasonable timeframe (typically two business days).
• Your inputs. Timely delivery depends on you providing access, content and feedback when we ask. Delays on your side may shift the schedule.

• Billing. Plans are billed monthly or yearly, in advance, in the currency stated in your plan or order form. Prices exclude VAT or other applicable taxes.
• Yearly plans. Yearly plans are paid upfront for the full 12 months and renew at the end of each term unless cancelled before the renewal date.
• Custom integrations. Integrations beyond what your plan includes can be built on request. We’ll quote the cost separately and get your approval before starting.

Your materials. Anything you give us (brand, content, documents, data, accounts) and the conversations your agent handles remain yours. You grant us a non-exclusive licence to use them to deliver the services.

Our platform. The Raichu platform, its agents, models, components, internal libraries, templates and know-how remain ours. We grant you a licence to use them for as long as your subscription is active.

Portfolio rights. We may showcase non-confidential work and your brand as a Raichu customer unless you ask us in writing not to.

Each party agrees to keep the other’s confidential information in confidence and use it only to perform under the agreement. Confidential information does not include anything that is public, independently developed or lawfully received from a third party. These obligations survive for three years after the engagement ends.

We warrant that we’ll perform the services with reasonable skill and care, using qualified personnel, and that our deliverables don’t, to our knowledge, infringe anyone else’s intellectual property at the time of delivery.

Beyond this, services and deliverables are provided “as is”. We don’t warrant uninterrupted, error-free operation of any system that depends on third-party platforms, networks or services, and AI-generated replies may occasionally be inaccurate.

To the maximum extent permitted by law:

• Neither party is liable for indirect, incidental, consequential, special or punitive damages, or for lost profits, revenue, data or goodwill.
• Our total aggregate liability arising out of or in connection with the services is capped at the fees you’ve paid us in the three months immediately preceding the claim.

Nothing in these terms limits liability for fraud, wilful misconduct or anything else that can’t be limited by law.

You’ll defend and indemnify us against third-party claims arising from your materials, your content, your products or your use of the services in a way they weren’t designed for. We’ll defend and indemnify you against third-party claims that our original deliverables infringe their IP rights, subject to the liability cap above.

• For convenience. Either party may cancel a subscription with 30 days’ written notice. Fees for the notice period remain payable.
• For cause. Either party may terminate immediately if the other materially breaches the agreement and doesn’t cure within 14 days of written notice, or becomes insolvent.
• On termination. You pay for services provided up to the effective date. We return your data on request and then delete it as described in our Data DeletionData Deletion policy. Sections that by their nature survive (IP, confidentiality, liability, governing law) continue.

Raichu integrates with third-party platforms (Meta, Instagram, WhatsApp, TikTok, Telegram, Shopify, Stripe, PayPal, Google, etc.). Their terms govern your use of them and we’re not responsible for their availability, accuracy or changes. We’ll flag dependencies and risks as we encounter them.

These terms are governed by the laws of the Dubai International Financial Centre (DIFC). Any dispute that can’t be resolved by good-faith discussion will be submitted to the exclusive jurisdiction of the DIFC Courts.

We may update these terms from time to time. This page always reflects the current version. Material changes that affect an active subscription will be communicated to you in writing and won’t apply retroactively without your agreement.

By accessing Raichu (raichu.ai) or using any of our products, you agree to be bound by these Terms. If you disagree with any part of the terms, you may not access the Service.

Raichu integrates with the Meta Platform (Facebook, Instagram, WhatsApp). By connecting your accounts, you acknowledge:

• You comply with Meta’s Commercial Terms and Platform Policies.
• You are responsible for the content of messages sent via our automation tools.
• We act as a “Data Processor” acting on your behalf as the “Data Controller”.

You agree not to use the Service to:

• Send unsolicited spam or bulk messages in violation of WhatsApp Business Policies.
• Collect data for unauthorised surveillance.
• Violate any applicable laws or regulations in your jurisdiction.

Kame House Solutions FZCO operates the Raichu.ai, Latias.ai and Bulma.ai platforms. These terms govern your use of Raichu and the services we deliver under any subscription, order form or other written agreement. By engaging us, you accept these terms. Anything specifically agreed in your contract takes precedence over what’s written here.
